CHANGES OF ENTERPRISE REGISTRATION INFORMATION
1. What is change of enterprise registration information?
Change of enterprise registration information is an administrative procedure that needs to be carried out at the Business registration authorities when the enterprise needs to change the contents of Certificate of enterprise registration such as name and address of the enterprise’s headquarters, business lines, charter capital, legal representatives, etc.
2. The contents of business registration changes
– The change of an enterprise’s name (includes: the Vietnamese name, foreign name, and abbreviated name)
– The change of The enterprise’s type of business entity (includes: conversion of a single member limited company into a multi-member limited liability company, conversion of a limited liability company into a joint-stock company and vice versa, conversion of a private enterprise into a limited liability company)
– Address of the enterprise’s headquarters
– Business lines
– Charter capital (includes: increase or decrease charter capital)
– Information of foreign shareholders includes: change of foreign shareholders, change of capital contribution (stake) ratio, information about Passport, Household registration of them
– Change of the legal representative, their information include positions, unexpired ID card/ Vietnamese passport, household, and current residence.
– Change of information of owner of single-member limited liability company includes: replacement of owner, the business license of the owner (if it is a legal entity), owner’s personal information (if personal)
– Change of the tax registration information includes: the person in charge of accounting, address information for tax notices, bank account, tax calculation method, etc.
– Change of members/shareholders of the company
(Enterprises can make one or more of the above changes at the same time)
3. Where is change the registration information?
– When there is a change to the above contents: The company is required to carry out procedures for changing business registration at the Business Registration Office/The Department of Planning and Investment where the head office is located
– In case the company changes the business registration of its branch/representative office/business location, the following actions shall be taken: Business registration office/Department of Planning and Investment where the enterprise is located branch/representative office/business location.
4. Procedures for changing business registration
– Each enterprise or its founder shall submit 01 application for enterprise registration.
– Method of submission: The enterprise or its authorized representative submits a notification of changes of business registration directly at the Business Registration Office where the enterprise is headquartered or submits online business registration according to the process on National Business Registration Portal.
– When receiving the notification, Business Registration Office shall give a confirmation slip, examine the validity of documents, change information about the enterprise on National Enterprise Registration Database
– When the application is valid, the Business Registration Office shall issue the Certificate of change in enterprise registration
– Business Registration Office shall issue a certification of change of registered information about the enterprise at the request of the enterprise.
